What is a non-profit incorporated association? How can something be non-profit and stay alive?

An incorporated association is an organisation, usually like a club or informal business, that has a legal personality (much like a company) but usually isn’t out there in the business world. Most associations are usually things like clubs, churches, and other recreational groups. The purpose is usually to get a bunch of people together who have a common interest to promote in the community. There are rules and conditions you have to meet to associate and incorporate, one of such being in the pursuit of recreational activity.

You can be unincorporated, but that makes life a bit harder, as it’s easier for things to get out of hand and people do the dodge without repercussions.

By incorporating, the association gains what is known as a ‘legal personality’ that is, it can own things in its name, sue and be sued, and conduct any sort of transaction in its own name (write cheques/buy/sell/rent/hold on trust etc). The idea here is that the association can hold equipment and run debts in a separate name and no one person has control or liability for such. The association cannot be ‘owned’ in the strict sense, none of the Valhalla committee or admin members have any strict ‘ownership rights’ to Valhalla property.

The association is governed by a constitution that sets down the basic rules that the association runs by. The committee is the group set up by the constitution to run the association and makes the decisions on what it does and doesn’t do. It is by this method that the property of Valhalla is managed. The committee as a whole have the right (via the constitution) to decide the action of Valhalla, control its property and actions.

A businessassociationentityorganisation is non-profit (or not for profit) when the driving force behind that organisation is not the pursuit of making money for its members or owners. That is, all the money made goes back into the business and not to the people running it.

Non-profit with regard to Valhalla means that all of the money made from LAN events, or any fund raising venture for that matter, goes straight back into the association to buy better equipment, hire classier venues, and generally make a better LAN for everyone. Neither committee member nor admin makes a single cent from Valhalla. All of our manpower is provided free of charge.

But c’mon, you guys make profit. I mean the money you get covers your expenses and then some. You guys prolly hire classy strippers or something with the extra money!

Although some members of Valhalla would like this to be the case, it unfortunately isn’t. Yes Valhalla makes money, if we couldn’t cover our expenses then we’d be broke obviously! We also make a small margin so that we can expand the association, maintain our current equipment and buy better equipment for a classier LAN experience. This is surplus revenue, which some confuse with profit. Remember, profit is for the benefit of the people running the show: money they bung in their pocket to hire strippers. No one gets paid to run Valhalla. All of our revenue goes to pay expenses with the leftover put aside for the next LAN and (if possible) buying new gear.

You mean that no one makes any money from Valhalla? Why in the name of all that is holy are you guys doing this?

We are insane.

No really the people who run Valhalla do it because they love doing it! They love LANning and they want people to share in that experience! The Valhalla committee and admin are there because they want to be there. There is nothing more satisfying than seeing multitudes of LANners gaming their hardest under one roof because of your time and effort. Nonetheless LANs are better places when everyone pitches in to make it good - when people help without being asked or simply clean up after themselves it makes a big difference!
